Constitution
Article I Name
The name of this organization shall be:
Volusia County Music Teachers Association, Inc.
Article II Object The object of the association shall be:
a) To advance the interest of music and musicians.
b) To raise the standards of music teaching.
c) To promote true music culture by the exchange of ideas.
d) To cultivate fraternal relations among the members of the music profession.
e) To award scholarships to worthy or needy students.
f) VCMTA is organized exclusively for charitable, educational, and scientific purposes, including for such purposes, the making of distributions to organizations that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.
g) No part of the net earnings of the organization shall inure to the benefit of, or be distributable to
its members, trustees, officers, or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distribution in furtherance of the purposes set forth in the object clause hereof. No substantial part of the activities of the organization shall be carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to, any candidate for public office.
Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under Section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
Article III Membership
Section I. Membership shall consist of the following classes:
a) Active…which shall include any person who is a professional teacher of music in any capacity. Retired music teachers also are eligible for active membership.
b) Student...which shall be open to any college music major through age 26.
i. Student members may attend meetings and programs of VCMTA.
ii. Student members do not have the right to vote in VCMTA.
iii. Any student members in good standing may have their students participate in VCMTA recitals and adjudicated events.
iv. Student members may teach no more than 10 private students.
v. VCMTA encourages student members to join their local collegiate chapter.
c) Emeritus... VCMTA members who are no longer engaged in the practice of teaching music may request to be listed as Emeritus members.
i. Emeritus members retain all the rights of Active members, including the rights to vote and to serve as an officer and/or committee chair.
ii. Local dues for Emeritus members will be waived, but State and National dues must still be paid.
Section II. Applicants shall be endorsed by two members in good standing, subject to the approval of the Executive Board.
Section III. All VCMTA members must also be members of Florida State Music Teachers Association and Music Teachers National Association.
Article IV Officers
Section I. Officers of this Association shall be:
President, First Vice President, Second Vice President, Third Vice President, Recording Secretary, Corresponding Secretary, and Treasurer.
Article V Committees
Section I. There shall be Standing Committees as follows:
Program, Student Activities, Public Relations, Scholarship, Social-Special Activities, Membership, and Independent Music Teacher.
Section II.
First Vice-President shall serve as Program Chairperson.
Second Vice-President shall serve as Student Activities Chairperson.
Third Vice-President shall serve as Membership Chairperson.
All other chairpersons shall be appointed by the President.
Section III. Special Committees may be appointment at any time by the President.
Article VI Executive Board
Section I. The Executive Board shall consist of the elected officers and the appointed committee chairpersons.
Article VII Elections
Section I. The election of officers shall be held at the regular meeting in April of each odd year.
Section II. These officers shall assume office at the regular meeting in May of each odd year and shall serve for a term of two years. No officer may serve in such position for more than one term except for the Treasurer, who may serve in such position as many terms as he is elected.
Section III. The Nominating Committee, appointed in March of each odd year by the President, shall present, at the April meeting, a slate of one nomination for each office. Additional nominations may be made from the floor.
Article VIII Meetings
Section I. The Association shall hold regular meetings each month from September through May, excluding December.
Section II. Special meetings may be called at any time upon recommendation of the Executive Board.
Section III. The Executive Board shall meet in the spring (May/June) and late summer (Aug./Sept.). Special meetings of the Executive Board may be called at any time by the President.
Article IX Fiscal Year
Section I. The fiscal year of the Association shall begin July 1.
Article X Quorums
Section I. Six active members shall be a quorum of the Association.
Section II. Six active members shall constitute a quorum of the Executive Board.
Article XI Termination
Section I. Upon the dissolution of the Association, the Executive Board, after paying or making provision for the payment of all the liabilities of the Association, shall dispose of all of the assets of the Association exclusively to an organization or organizations organized and operated exclusively for charitable, religious, education or scientific purposes as shall qualify as an exempt organization or organizations under Section 501 (c)(3) of the Code, as the Executive Board shall determine, or shall be distributed to the federal government, or to a state or local government. Any such assets not disposed of shall be otherwise disposed of by a court of competent jurisdiction of the county in which the principal office of the Association is located, exclusively for such purposes or to such organization or organizations, as said court shall determine which are organized and operated exclusively for such purposes.
Article XII Amendments
Section I. The constitution may be amended at any regular meeting of the Association by a two-thirds vote of the active members present, provided that the proposed amendment has been presented in writing to all active members at least thirty days in advance.
Article XIII Indemnification
Directors, Officers and Employees
The organization shall indemnify to the extent allowed by the not-for-profit corporation statutes of the State of Florida any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative by reason of the fact that the person is or was a director, officer, employee or agent of the organization or served any other enterprise at the request of the organization. The person to be indemnified must have acted in good faith and in a manner he/she reasonably believed to be in or not opposed to the best interests of the organization or its membership, and, with respect to any criminal action or proceeding, had no reasonable cause to believe his/her conduct was unlawful.
The name of this organization shall be:

By-Laws
Article I Duties of Officers
A. President: It shall be the duty of the President to preside at all regular and called meetings of the Association and Executive Board. The President shall serve as ex-officio member of all standing and special committees.
B. First Vice President: In the absence of the President, the First Vice President shall perform all the duties of the President and shall also serve as Chairperson of the Program Committee.
C. Second Vice President: In the absence of the President and the First Vice President, the Second Vice President shall perform all the duties of the President and shall also serve as Chairperson of Student Recitals, Evaluations and Auditions.
D. Third Vice President: In the absence of the President, First and Second Vice President, the Third Vice President shall perform all the duties of the President and shall also serve as Membership Chairperson.
E. Recording Secretary: It shall be the duty of the Recording Secretary to keep a complete record of all meetings of the Association and the Executive Board.
F. Corresponding Secretary: It shall be the duty of the Corresponding Secretary to issue notices of all meetings and to carry on all correspondence assigned by the President and the Executive Board.
G. Treasurer: It shall be the duty of the Treasurer to receive and disburse all monies of the Association, to present a detailed report at each business meeting of the Association and a yearly report at the April meeting after which the Treasurer’s books shall be audited by an appointee of the President, when requested by the Executive Board.
Article II Duties of Standing Committees
A. Program Committee: The Program Committee, with the First Vice President as Chairperson, shall prepare and present an outline of the programs to be used throughout the year to the Executive Board in the spring.
B. Student Activities: This committee shall be sub-divided, with a chairperson for each of its several activities:
1. Student Recitals, Evaluations, Auditions. The Second Vice President shall serve as Chairperson for this committee.
2. School Liaison: The School Liaison Chairperson shall be responsible for the FSMTA Community Service Award for 12th Graders and the Local Presidents’ Community Service Award for 9th graders.
C. Publicity Committee: The Publicity Committee shall be responsible for all publicity about meetings, concerts, and special events. It shall promote in every way possible Volusia County Music Teachers Association.
D. Scholarship Committee: The Scholarship Committee shall be responsible for administering the Scholarship fund, upon approval of the Association.
E. Social-Special Activities Committee: The Social-Special Activities Committee shall be responsible for arranging the receptions following all student recitals, all social affairs called for in the program of the year, and any special activities the Association may desire.
F. Membership Committee: The Membership Committee shall be that group designated to obtain new members. The Third Vice President shall serve as Chairperson of this committee.
G. Independent Teacher Representative: An Independent Music Teacher representative is appointed by request of FSMTA.

D. A former member who had resigned may be reinstated by payment of dues for the current year.
Article V Parliamentary Authority
A. All meetings of the Volusia County Music Teachers Association shall be conducted by the rules of Parliamentary procedure according to the current edition of Robert’s Rules of Order.

A. These By-Laws may be amended at any regular meeting of the Association by a two-thirds vote of the active members present, providing the proposed amendment has been presented at a previous meeting.
